POSITION SUMMARY

Under general guidance and supervision, the Vice President, Corporate & IT Counsel is responsible for overseeing and supervising all aspects of the company's legal issues concerning its corporate operations, information technology, procurement, supply chain, and enterprise-wide vendor relationships. The role requires expertise in information technology, data privacy, procurement arrangements and group purchasing contracting.


Responsibilities

  • Reporting directly to the Chief Legal Officer, primary role will be drafting and reviewing contracts, agreements and policies relating to information technology systems, data privacy, cybersecurity and general commercial arrangements.
  • Provides legal review and/or advice to facility administration; participates in the development of system policies and procedures; reviews contracts; and, negotiates and facilitates transactions.
  • Manage outside attorneys and provide guidance on legal matters related to a wide range of commercial relationships and arrangements.
  • Interfaces with all corporate departments to provide advice on negotiating, reviewing and drafting commercial arrangements and supporting corporate initiatives.
  • Assists with compliance investigations as needed. Coordinates with Compliance Department.
  • Participates in activities that increase legal knowledge, professional expertise, and the delivery of quality legal services. Conducts educational sessions, prepares compliance plans, prepares and facilitates implementation plans.
  • Requests and utilizes interdepartmental services as they pertain to the provision of legal services; establishes and maintains working relationships with all department personnel relative to legal service function.
  • Assists in development of methods for achieving goals such as competitive bids, form agreements, reviews legal resources, and system policies within legal limits.
  • Uses skill, knowledge and experience to assist company in amicably resolving disputes with third parties

Qualifications

Education and Experience:

  • Qualified candidate will be an attorney with a Juris Doctor (J.D.) degree from an accredited law school and current license to practice law.
  • Must have a minimum of 7 years' experience in negotiating, drafting and implementing information technology agreements, purchase agreements, vendor service agreements and general commercial relationships.
  • Previous law firm experience preferred.

Knowledge, Skills and Abilities:

  • Analytical skills necessary to review contractual arrangements to determine their compliance with respect to various laws.
  • Effective verbal and written communication skills necessary to effectively draft and present legal documents, briefs, reports and memorandums.
  • Negotiating skills
  • Project coordination and management skills.
  • Knowledge of facility and corporate policies and procedures.
  • Knowledge of computer and various software packages.
  • Skill in organizing and prioritizing workloads to meet deadlines.
  • Effective oral and written communication skills.

  • Ability to adhere to safety policies and procedures.
  • Ability to use good judgment and to maintain confidentiality of information.
  • Ability to travel as needed. (Approx 25%)
